trying to overlay and image on top of another and after i paste the second image on top to overlay it i cannot find a way to make it transparent/decrease the opacity to make it translucent so i can see both images at the same time with one on top of the other.
I have got my company logo as a transparent PNG, so there isn't a white square showing around the logo on the dark background, which is again, very nice! I don't think that flattening an image should be the first course of action, especially when you want to duplicate the layer onto another document. Checking transparency, layer style, and blend mode should be done first. Then trying another alternative, as Horatio suggested, is a better tactic than flattening an image. –
Create a new document in Photoshop, give it any size you need and set the 'Background Contents' to 'Transparent'. Go to 'File → Save for Web', choose the PNG-24 format and tick the 'Transparency' box. Hit Save, give it a name and you're done.

Since a PowerPoint slide never has a transparent background, this is unlikely to ever happen. If you select the elements on a slide, right-click on them and choose Save as Picture and choose PNG format, PowerPoint already does this.
